Copyright and Trademark Policy

1. Introduction

Hello Alice respects the intellectual property rights of others, and we expect Hello Alice users to do the same. This Copyright and Trademark Policy explains how to report copyright or trademark concerns about content on Hello Alice, how Hello Alice responds to those reports, and how users whose content has been removed can submit a counter-notification.

"Hello Alice," "we," "us," and "our" refer to Circular Board, Inc., a Delaware corporation doing business as Hello Alice.

This Policy is incorporated by reference into our Terms of Service.

2. Reporting copyright infringement (DMCA notice)

We comply with the Digital Millennium Copyright Act ("DMCA"). If you believe that content on Hello Alice infringes a copyright you own or are authorized to enforce, you can send us a takedown notice that conforms to the requirements of DMCA Section 512(c)(3).

2.1 What to include

A valid DMCA takedown notice must include all of the following:

  1. Your physical or electronic signature (or that of a person authorized to act on behalf of the copyright owner).
  2. Identification of the copyrighted work that you claim has been infringed. If multiple works are involved, you may provide a representative list.
  3. Identification of the material on Hello Alice that you claim is infringing, with sufficient detail for us to locate it. A direct URL is the most helpful form of identification.
  4. Your contact information, including your full name, address, telephone number, and email address.
  5. A statement that you have a good-faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
  6. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner's behalf.

Notices that do not include all of these elements may not be valid under the DMCA and may not result in any action by Hello Alice.

2.2 Where to send your notice

2.3 What happens after you submit a notice

When we receive a valid DMCA takedown notice, we will:

  • Acknowledge receipt within five (5) business days.
  • Evaluate the notice for validity and completeness.
  • If we determine the notice is valid, remove or disable access to the identified material expeditiously.
  • Notify the user who submitted the material that it has been removed, and provide them a copy of your notice (which may include your contact information, as required by DMCA Section 512(g)).
  • Inform the user of their right to submit a counter-notification (see Section 3).

3. Counter-notification (for content removed in response to a DMCA notice)

If your content has been removed from Hello Alice in response to a DMCA takedown notice and you believe the removal was the result of mistake or misidentification, you may submit a counter-notification under DMCA Section 512(g).

3.1 What to include

A valid DMCA counter-notification must include all of the following:

  1. Your physical or electronic signature.
  2. Identification of the material that was removed and the location at which it appeared before it was removed (a direct URL where possible).
  3. A statement, made under penalty of perjury, that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification.
  4. Your name, address, and telephone number.
  5. A statement that you consent to the jurisdiction of the U.S. Federal District Court for the judicial district in which your address is located (or, if your address is outside the United States, for any judicial district in which Hello Alice may be found), and that you will accept service of process from the person who submitted the original takedown notice, or that person's agent.

3.2 Where to send your counter-notification

Send your counter-notification to the same Designated Agent contact in Section 2.2.

3.3 What happens after you submit a counter-notification

When we receive a valid counter-notification, we will:

  • Provide a copy of the counter-notification to the person who submitted the original takedown notice. This will include your contact information, as required by DMCA Section 512(g)(2).
  • Inform that person that we will restore the removed material in ten (10) to fourteen (14) business days, unless they notify us that they have filed a court action seeking an order to restrain you from engaging in infringing activity related to the material on Hello Alice.
  • If we do not receive such notice from the original complainant within that window, we will restore the material.

4. Repeat infringer policy

Consistent with DMCA Section 512(i), Hello Alice will, in appropriate circumstances, terminate the accounts of users we determine to be repeat copyright infringers. We may consider factors including the number and severity of valid takedown notices received about a user's content, the nature of the infringement, and whether the user has been previously warned.

5. Reporting trademark concerns

If you believe content on Hello Alice infringes a trademark you own or are authorized to enforce (for example, content that uses your protected mark in a way that is likely to cause consumer confusion, or that misrepresents an affiliation with your business), you can report it to us. Trademark complaints are not subject to the DMCA, but we will evaluate trademark reports in good faith and take action where appropriate.

5.1 What to include in a trademark report

A useful trademark report includes:

  • Identification of the trademark you claim is being infringed, including the registration number (if registered) and the goods or services with which the mark is used.
  • Identification of the content on Hello Alice that you believe infringes your mark, with a direct URL where possible.
  • A description of the alleged infringement, including why you believe the use is unauthorized and likely to cause confusion.
  • Your contact information, including name, address, telephone, and email.
  • A statement that you have a good-faith belief that the use is not authorized by the trademark owner, its agent, or the law.
  • A statement that the information in your report is accurate and that you are the trademark owner or authorized to act on the owner's behalf.

5.2 Where to send a trademark report

Send trademark reports to compliance@helloalice.com with the subject line "Trademark Concern."

We will evaluate the report and may remove, modify, or disable access to content we determine, in our reasonable judgment, to infringe a trademark. We may also contact the user who submitted the content for additional information.

6. Misuse of this process

Submitting a false, misleading, or bad-faith copyright or trademark complaint is a misuse of this process and may have legal consequences for you.

Under DMCA Section 512(f), anyone who knowingly materially misrepresents that material is infringing, or that material was removed by mistake or misidentification, may be liable for damages (including costs and attorneys' fees) incurred by the alleged infringer, the copyright owner, or Hello Alice as a result of the misrepresentation.

Do not submit a takedown notice or counter-notification unless you have a good-faith belief in the truth of the statements you are making.

8. Updates to this policy

We may update this Copyright and Trademark Policy from time to time to reflect changes in our practices or applicable law. When we make changes, we will post the updated Policy with a new "Last Updated" date.

Notices submitted in good faith under a prior version of this Policy will be evaluated under the version that was in effect when the notice was submitted.

9. Change log

This appendix logs notable updates to this Copyright and Trademark Policy. The body of the policy describes Hello Alice's current practices, not historical ones.
